Drillisch AG decides to acquire some 2.26 million company shares

In its ad hoc announcement of 25 November 2003, Drillisch AG, listed on the regulated market in Frankfurt a.M. (Prime Standard segment), disclosed the purchase of all the shares of the Krefeld-based service provider VICTORVOX AG. In the course of this transaction, the purchase price due the sellers was in part paid with new Drillisch AG shares, which were generated from authorized capital. In the purchase agreement underlying the allocation of the new shares to the VICTORVOX AG sellers, these sellers granted Drillisch AG call options to 75% of the shares that were allocated to them. At 2:20 PM on 11 November 2004, the Executive Board of Drillisch AG decided to exercise the referenced call options and purchase and redeem 2,255,796 individual share certificates of Drillisch AG representing 6.45% of the share capital. The board also decided to retire these shares – subject to a condition precedent of their real purchase – without capital writedown in accordance with Articles 71, Sec. 1 No. 8,; 237, Sec. 1, pg. 1, Sec. 3, No.3 of the German Stock Corporation Law (AktG). The Supervisory Board of Drillisch AG concurred with the decisions of the Executive Board at 2:35 PM on 11 November 2004. By retiring these 2,255,796 individual share certificates, the share of the remaining stocks share in the Drillisch AG share capital will increase accordingly.
