Drillisch AG: Inflow of ca. 7.4m Euro after settlement with VS GmbH

Drillisch AG today closed an out-of-court-settlement with VS GmbH whereby
VS GmbH committed itself to pay an amount of 7,406,133.27 million Euro to
Drillisch AG. With this settlement, any possible requirements of Drillisch
AG which based upon the purchase contract negotiated on 7 April 2004 will
be excluded, this includes the endorsement of this contract agreed on 3 May
2004 as well.
Purpose of the purchase contract as of 7 April 2004 was the transfer of
4,744,202 options on Drillisch shares to VS GmbH with the measure that any
gains realised in the event of a later share sale will result in a
participation of 76% of this for the benefit of the Drillisch AG. These
proceeds were defined as the difference of the strike price (EUR1.45) and
a sale price.
Today's accord includes a partial payment of 5,000,000 million Euro until
28 December 2009 in favour of the Drillisch AG. VS GmbH has to pay the
remainder in three equal instalments of 802,044.42 Euro on 31 March 2010,
30 June 2010 and 30 September 2010.
