NARRATIVE
On May
29, 2009, the Registrant's former Chief Financial
Officer resigned. The Company has not yet appointed a successor
Chief Financial Officer. The functions of the Company’s Chief
Financial Officer are being performed on an interim basis by Mr. Anastasios
Angeloglou, the Group Chief Executive Officer of the Company and all of its
operating units, subsidiaries and joint ventures. As a result of the
transition of the Registrant’s Chief Financial Officer, the process of compiling
and processing the information required to be included in the Form 10-K for the
year ended December 31, 2009 could not be completed without incurring undue
hardship and expense. The Registrant expects the Form 10-K to be
filed within the extension period provided under Rule 12b-25 promulgated under
the Securities Exchange Act of 1934, as amended.
