Item 2.02        Results of Operations and Financial Conditions

On March 12, 2009, ATS Corporation (the “Company”) announced its financial results for the quarter and fiscal year ended December 31, 2008.  The press release containing the announcement is attached hereto as Exhibit 99.1

Item 8.01        Other Events

On March 4, 2009, the Company reported that it will hold its annual meeting of stockholders on May 5, 2009 at its headquarters, 7925 Jones Branch Drive, McLean, Virginia 22102 at 9:30 a.m. local time.  Stockholders of record at the close of business on March 16, 2009 are entitled to notice of and to vote at the meeting.  The Company previously reported a record date of March 15, 2009.
