connection with the consummation of the Offer (as defined below) on March 30, 2012, ATS Corporation (the &ldquo;Company&rdquo;)
terminated the Amended and Restated Credit Agreement, dated as of June 1, 2010 (as amended, supplemented or otherwise modified
from time to time, the &ldquo;Credit Agreement&rdquo;), among the Company, the several banks and other financial institutions
and lenders from time to time party thereto and Bank of America, N.A., in its capacity as administrative agent. The Credit Agreement
provided the Company with a credit facility of up to $55 million. No early termination penalties were incurred by the Company
as a result of the termination.&nbsp;</P>

Inc., a Delaware corporation (&ldquo;Parent&rdquo;), Atlas Merger Subsidiary, Inc., a Delaware corporation and wholly owned subsidiary
of Parent (&ldquo;Merger Sub&rdquo;), and the Company, pursuant to which Merger Sub launched a tender offer to purchase all of
the outstanding shares of Company Common Stock for $3.20 per share, net to the seller in cash, without interest thereon and less
any required withholding taxes, upon the terms and subject to the conditions set forth in the Offer to Purchase dated February
28, 2012 and the related Letter of Transmittal (the &ldquo;Offer&rdquo;). The Merger Agreement also provides that, among other
things, following completion of the Offer, and subject to the satisfaction or waiver of certain conditions, Merger Sub will merge
with and into the Company (the &ldquo;Merger&rdquo;) in accordance with the Delaware General Corporation Law (the &ldquo;DGCL&rdquo;).</P>

tendered and not validly withdrawn prior to the expiration of the Offer, including 215,861&nbsp;shares of Company Common Stock
subject to guaranteed delivery procedures. Merger Sub has accepted all tendered and not validly withdrawn shares of Company Common
Stock for payment. The shares of Company Common Stock that were tendered and not validly withdrawn represent approximately 97
percent of the Company&rsquo;s outstanding shares.&nbsp;</P>

of the Offer, the Company, Parent and Merger Sub consummated the Merger in accordance with the terms of the Merger Agreement. As
contemplated by the Merger Agreement, at the effective time of the Merger on March 30, 2012 (the &ldquo;Effective Time&rdquo;),
each share of Company Common Stock not tendered in the Offer and outstanding immediately prior to the Effective Time (other than
(i)&nbsp;shares held by the Company as treasury stock or owned by Parent or Merger Sub, or their respective subsidiaries, and (ii)&nbsp;shares
of Company Common Stock held by stockholders who had perfected their appraisal rights under Section&nbsp;262 of the DGCL) was converted
into the right to receive an amount in cash, without interest thereon and less any required withholding taxes, equal to $3.20 per
share of Company Common Stock.</P>

on Merits of any Action</U>. Notwithstanding any other provision of this Article, to the extent that a director, officer, employee
or agent of the corporation or any subsidiary or operating division thereof has been successful on the merits or otherwise, including,
without limitation, the dismissal of an action without prejudice, in defense of any action, suit or proceeding referred to in this
Article, or in defense of any claim, issue or matter therein, such person shall be indemnified against all costs, charges and expenses
(including attorneys&rsquo; fees) actually and reasonably incurred by such person or on such person&rsquo;s behalf in connection
therewith.</P>

of Standard of Conduct</U>. Any indemnification under Sections 2 and 3 of this Article (unless ordered by a court) shall be paid
by the Corporation only after a determination has been made (1) by the board of directors by a majority vote of a quorum consisting
of directors who were not parties to such action, suit or proceeding, or (2) if such quorum is not obtainable, or even if obtainable,
a quorum of disinterested directors so directs, by independent legal counsel in a written opinion, or (3) by the stockholders,
that indemnification of the director, officer, employee or agent is proper in the circumstances of the specific case because such
person has met the applicable standard of conduct set forth in Sections 2 and 3 of this Article.</P>

referred to in Sections 2 and 3 of this Article in defending a civil or criminal action, suit or proceeding shall be paid by the
Corporation in advance of the final disposition of such action, suit or proceeding; provided, however, that the payment of such
costs, charges and expenses incurred by a director or officer in such capacity as officer or director (and not in any other capacity
and which service was or is rendered by such person while a director or officer) in advance of the final disposition of such action,
suit or proceeding shall be made only upon receipt of an undertaking by or on behalf of the director or officer to repay all amounts
so advanced in the event that it shall ultimately be determined that such director or officer is not entitled to be indemnified
by the Corporation as authorized in this Article. Such costs, charges and expenses incurred by other employees and agents may be
so paid upon such terms and conditions, if any, as the board of directors deems appropriate. The Corporation may, in the manner
set forth above, and upon approval of such director, officer, employee or agent, authorize the Corporation&rsquo;s counsel to represent
such person, in any action, suit or proceeding, whether or not the Corporation is a party to such action, suit or proceeding.</P>

<P STYLE="font: normal 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-indent: 0.5in">Section 11.7&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;<U>Procedure
for Obtaining Indemnity</U>. Any indemnification under Sections 2, 3 and 4, or advance of costs, charges and expenses under Section
6 of this Article, shall be made promptly, and in any event within sixty (60) days, of the written notice of the director, officer,
employee or agent. The right to indemnification or advances as granted by this Article shall be enforceable by the director, officer,
employee or agent in any court of competent jurisdiction if the Corporation denies such request, in whole or in part, or if no
disposition thereof is made within sixty (60) days. Such person&rsquo;s costs and expenses incurred in connection with successfully
establishing a right to indemnification, in whole or in part, in any such action shall also be indemnified by the Corporation.
It shall be a defense to any such action (other than an action brought to enforce a claim for the advance of costs, charges and
expenses under Section 6 of this Article where the required undertaking, if any, has been received by the Corporation) that the
claimant has not met the standard of conduct set forth in Section 2 or 3 of this Article, but the burden of proving such defense
shall be on the Corporation. Neither failure of the Corporation (including its board of directors, its independent legal counsel,
and its stockholders) to have made a determination that indemnification of the claimant is proper in the circumstances because
such person has met the applicable standard of conduct set forth in Section 2 or 3 of this Article, nor the fact that there has
been an actual determination by the Corporation (including its board of directors, its independent legal counsel, and its stockholders)
that the claimant has not met such applicable standard of conduct, shall be a defense to the action or create a presumption that
the claimant has not met the applicable standard of conduct.</P>

or operating division thereof as to costs, charges and expenses (including attorneys&rsquo; fees), judgments, fines and amounts
paid in settlement with respect to any action, suit or proceeding, whether civil, criminal, administrative or investigative, including
any action by or in the right of the Corporation, to the full extent permitted by any applicable portion of this Article that shall
not have been invalidated and to the full extent permitted by applicable law.</P>
