Item 8.01 Other Events

AGR Tools, Inc. provided an update on the status of its proposed merger with AGR Stone & Tools USA, Inc. by press release dated April 20, 2010. The audit of the financial statements required in connection with the merger is in the final stages and is expected to be completed shortly.
