Issue of new shares

Nio Security, Inc. has today issued 156,268 new
shares of its common stock to the subscribers in the
subsequent offering completed on February 25, 2011.

Nio`s share capital has increased from USD 4,547,804
to 4,563,431, and the number of outstanding shares
has increase from 45,478,041 to 45,634,309 (par value
USD 0.10).
