Directors Dealings
S-Ventures (Aquis Exchange: SVEN), announces that certain Directors of the Company have transferred beneficial interests in their shareholdings to family members. These shares (excepting for those transferred by David Mitchell) remain subject to lock-on agreements as per the Admission Document published on 1 September 2020. The details are as follows:
On 16 April 2021, Scott Paul Livingston, Chief Executive Officer, transferred for nil consideration 20,000 Ordinary Shares which had been held by Mr Livingston personally, to the following family members:
Francesca Annabelle Livingston (daughter): 10,000 Ordinary Shares
Charles Antonio Livingston (son): 10,000 Ordinary Shares
Following the above transaction, Mr Livingston's total beneficial interest in the Company's Ordinary Shares remains as 45,415,768, representing approximately 57.34% of the issued share capital, of which 40,000 shares are held by immediate family members.
On 16 April 2021, Robert Hewitt, Chief Financial Officer, transferred for nil consideration 40,000 Ordinary Shares which had been held by Mr Hewitt personally, to the following family members:
Philippa Charlotte Hewitt (wife): 10,000 Ordinary Shares
George Kenneth Hewitt (son): 10,000 Ordinary Shares
Alice Elizabeth Jones (daughter): 10,000 Ordinary Shares
Charlotte Mary Hewitt (daughter): 10,000 Ordinary Shares
Following the above transaction, Mr Hewitt's total beneficial interest in the Company's Ordinary Shares remains as 2,294,416, representing approximately 2.9% of the issued share capital, of which 30,000 shares are held by immediate family members.
On 16 April 2021, David Mitchell, Non-Executive Director, transferred for nil consideration 6,000 Ordinary Shares which had been held by Mr Mitchell personally, to the following family members:
Sharon Mitchell: (wife): 1,000 Ordinary Shares
Ben Mitchell (son): 1,000 Ordinary Shares
Cara Travers (daughter): 1,000 Ordinary Shares
Benjamin Travers: (grandson): 1,000 Ordinary Shares
Finley Mitchell (granddaughter): 1,000 Ordinary Shares
Miren Mitchell (granddaughter): 1,000 Ordinary Shares
Following the above transaction, Mr Mitchell's total beneficial interest in the Company's Ordinary Shares remains as 1,875,000, representing approximately 2.37% of the issued share capital, of which 6,000 shares are held by immediate family members.
On 16 April 2021, Nicol Allan D'Onofrio, Non-Executive Director, transferred for nil consideration 40,000 Ordinary Shares which had been held by Mr D'Onofrio personally, to the following family members:
Katty D'Onofrio (wife): 10,000 Ordinary Shares
Cristian D'Onofrio (wife/daughter): 10,000 Ordinary Shares
Adriana D'Onofrio (wife/daughter): 10,000 Ordinary Shares
Nicolas D'Onofrio (son): 10,000 Ordinary Shares
Following the above transaction, Mr D'Onofrio's total beneficial interest in the Company's Ordinary Shares remains as 2,750,000, representing approximately 3.47% of the issued share capital, of which 40,000 shares are held by immediate family members.
On 16 April 2021, Alexander James Bevan Phillips, Non-Executive Director, transferred for nil consideration 4,000 Ordinary Shares which had been held by Mr Phillips personally, to the following family members:
Rochelle Louise Phillips (wife): 1,000 Ordinary Shares
Archie James McAllister Phillips (son): 1,000 Ordinary Shares
Lucy Alexandra McAllister Phillips (daughter): 1,000 Ordinary Shares
Rosie Arabella McAllister Phillips (daughter): 1,000 Ordinary Shares
Following the above transaction, Mr Phillips' total beneficial interest in the Company's Ordinary Shares remains as 2,750,000, representing approximately 3.47% of the issued share capital, of which 4,000 shares are held by immediate family members.
