EV Digital Invest AG Plans Capital Measures to Cover Capital Requirements for 2025; Loss of Half of Share Capital

Berlin, 22. April 2025. EV Digital Invest AG (ISIN: DE000A3DD6W5), operator of the two online investment platforms “Engel & Völkers Digital Invest” and “Digital Invest Assets”, announces its financial figures for the fiscal year 2024. In this context, an additional capital requirement has been identified. The company is in advanced discussions to secure the required capital. To this end, the company intends to propose a capital reduction at a ratio of 3:1 followed by a capital increase with subscription rights for shareholders through the issuance of up to approximately 2 million new shares, likely at a subscription price of EUR 1.00 per share, at the upcoming Annual General Meeting. The company reports operating income of EUR 2.4 million for the 2024 fiscal year, in line with its communicated guidance. EBIT amounts to EUR -4.8 million, slightly below the forecasted range of EUR -3.5 million to EUR -4.1 million. As a result, total operating expenses came in at EUR 7.2 million, higher than expected (planned range: EUR 5.8 million to EUR 6.6 million). Furthermore, pursuant to § 92 of the German Stock Corporation Act (AktG), the company’s net assets have fallen below half of the share capital. Accordingly, a General Meeting will be convened as soon as possible.
