During the nine months ended September 30, 2024, the Company issued 18,011,738 shares of its common stock as follows:

 

  · The Company issued 15,578,409 shares of its common stock upon the conversion of $531,000 in convertible notes at $0.03 to $0.05 per share, net of unamortized discount of $307,000.
     
  · The Company issued 433,329 shares of its common stock valued at $0.02 to $0.06 per share for the settlement of accounts payable of $18,000.
     
  · The Company issued 2,000,000 shares of its common stock for services with a fair value of $140,000 valued at $0.07 per share.
