Yönetim Kurulumuz, aşağıda belirtilen hususu karar altına almıştır.

Sermaye Piyasası mevzuatı, ilgili mevzuat ve Şirket esas sözleşme hükümleri çerçevesinde, Şirket bünyesinde Yönetim Kurulu'nun görev ve sorumluluklarının sağlıklı bir biçimde yerine getirilmesi için Sürdürülebilirlik ile ilgili Türkiye'de ve dünyadaki gelişmeleri takip ederek, Şirket sürdürülebilirlik stratejisini oluşturmak, Şirket bünyesinde politikaları ve prosedürleri belirleyici çalışmalar yapmak ve görüş ve önerilerini Yönetim Kuruluna sunmak, Şirket'in sosyal, çevresel, ekonomik ihtiyaçlarını kurumsal ve sistemli bir yapı çerçevesinde geliştirmek, sürdürülebilirlik yönetimi, politika ve prosedürleri ile etkinliğini en az yılda bir kez gözden geçirerek sürdürülebilirliğin Şirket bünyesinde hızlı, etkin ve sağlıklı yönlendirilebilmesini temin etmek, yıllık olarak bir plan hazırlamak ve sonraki yıl için bir iş planını onaylamak temel görev ve yetkileri dahilinde, Şirket bünyesinde Yönetim Kurulu'na bağlı olarak çalışmak üzere "Sürdürülebilirlik Komitesi" kurulmasına ve Sürdürülebilirlik Komitesi'nin aşağıdaki şekilde yapılanmasına karar verilmiştir.

Our Board of Directors has resolved as follows:

In accordance with the Capital Markets legislation, applicable regulations, and the provisions of the Company's Articles of Association, and in order to ensure the effective fulfillment of the duties and responsibilities of the Board of Directors, it has been resolved to establish a Sustainability Committee within the Company, reporting directly to the Board of Directors. The Committee shall operate within the scope of the following principal duties and authorities:

Monitor developments related to sustainability both in Türkiye and globally,
Formulate the Company's sustainability strategy,
Conduct studies to define policies and procedures within the Company and submit opinions and recommendations to the Board of Directors,
Develop the Company's social, environmental, and economic needs within an institutional and systematic framework,
Review sustainability management, policies, and procedures, as well as their effectiveness, at least annually, to ensure that sustainability is implemented rapidly, effectively, and soundly within the Company,
Prepare an annual plan and approve a business plan for the subsequent year.

It has further been resolved that the Sustainability Committee shall be structured as set forth below.
