Şirketimiz sermayesinin %73,48'ini temsil eden payların sahibi olan Borusan Mannesmann Boru Yatırım Holding A.Ş. (" BMBYH ") tarafından şirketimize gönderilen bildirimlere istinaden, BMBYH'nin toplam sermayesinin %23'üne karşılık gelen ve Salzgitter Mannesmann GmbH'nin sahibi olduğu 2.300.000 TL nominal değerli 230.000.000 adet payın Borusan Holding A.Ş. tarafından satın alınmasına yönelik planlanan işlem (" İşlem "), İşlem'in tamamlanması halinde Borusan grubu şirketlerinin BMBYH sermayesindeki toplam pay sahipliği oranının %77'den %100'e yükseleceği ve halihazırda Borusan grubunda olan şirketimizin yönetim kontrolünde değişiklik meydana gelmeyeceği ve İşlem'in tamamlanması için beklenen şartlar hakkındaki çeşitli gelişmeler kamuoyuna duyurulmuştu.

Şirketimizce yapılan başvuru üzerine, esas sözleşme tadiline ilişkin izin talebimiz T.C. Ticaret Bakanlığı tarafından uygun bulunmuş ve İtalya doğrudan yabancı yatırımlar otoritesi tarafından İşlem'e şartsız izin verildiği BMBYH tarafından ekli yazı ile Şirketimize bildirilmiştir.

İşlem'in tamamlanması için beklenen şartlar hakkındaki gelişmeler kamuya açıklanmaya devam edilecektir.

Kamuoyuna saygıyla duyurulur.

İşbu açıklamamızın İngilizce çevirisi de yer almakta olup açıklama metinlerinde herhangi bir farklılık olması durumunda, Türkçe açıklama esas kabul edilecektir.

Pursuant to the notifications of Borusan Mannesmann Boru Yatırım Holding A.Ş. (" BMBYH "), the owner of shares representing 73.48% of our Company's share capital, contemplated transaction regarding the transfer of 230,000,000 shares with the total nominal value of TRY 2,300,000 representing 23% of the share capital of BMBYH from Salzgitter Mannesmann GmbH to Borusan Holding A.Ş. (" Transaction ") and the fact that Borusan group companies' total shares in the BMBYH will increase from %77 to %100 and that there will be no change in the management control of our company in the event that the Transaction is completed, as well as certain developments regarding the conditions necessary for the completion of the Transaction, were announced to the public.

Upon the application of our Company, our request for the amendment of the articles of association has been approved by the Ministry of Trade and it has been notified to our Company by BMBYH with the attached letter that the Transaction has been unconditionally approved by the foreign direct investments authority of Italy.

Developments regarding the conditions necessary for the completion of the Transaction will continue to be announced to the public.
