Shareholders of our Company, Borusan Birleşik Boru Fabrikaları Sanayi ve Ticaret Anonim Şirketi ("Company" or "BRSAN"); Zehra Nurhan Kocabıyık, Ayşe Nükhet Özmen ve Fatma Zeynep Hamedi, Borusan Lojistik Dağıtım Depolama Taşımacılık ve Ticaret Anonim Şirketi and Borusan Holding Anonim Şirketi ("Borusan Holding") have submitted the attached share transfer notifications dated 03.12.2025 to the Company.

Pursuant to these share transfer notifications, certain shares of the Company has been transferred to Borusan Holding. Accordingly, Borusan Holding's shareholding in the Company will increase from 64.40% to 72.04%.

In case of a discrepancy between the Turkish and English versions of this public disclosure statement, Turkish version shall prevail.
