Yönetim Kurulumuzun 11.06.2024 tarihli 2024/21 nolu toplantısında;

Sermaye Piyasası Kurulu'nun II-17.1. sayılı Kurumsal Yönetim Tebliği'nde yer alan hükümler çerçevesinde:

- Denetimden Sorumlu Komite'nin 2 üyeden oluşmasına ve Başkanlığına Sayın Ayben KOY'un ve üyeliğe Sayın Kemal USLU'nun getirilmesine,

- Kurumsal Yönetim Komitesi'nin 3 üyeden oluşmasına ve Başkanlığına Sayın Kemal USLU'nun ve üyeliklere Sayın Ayben KOY ve Yatırımcı İlişkileri Yöneticisi (Sayın Hüseyin KONUR, komite doğal üyesi)'nin getirilmesine,

- Riskin Erken Saptanması Komitesi'nin 3 üyeden oluşmasına ve Başkanlığına Sayın Ayben KOY'un ve üyeliklere Sayın Kemal USLU ve Mali İşler Direktörü (Sayın Ahmet Ersoy ÖNAL)'nün getirilmesine,

- Yatırım Komitesi'nin 6 üyeden oluşmasına ve Başkanlığına Mehmet Akif GÜL'ün ve üyeliklere Mali İşler Grup Başkanı (Sayın Galip AYKÖSE), Genel Müdür (Sayın Hamdi ALP), Mali İşler Direktörü (Sayın Ahmet Ersoy ÖNAL), Sayın Ayben KOY ve Sayın Kemal USLU'nun getirilmesine,

- Sürdürülebilirlik Komitesi'nin 6 üyeden oluşmasına ve Başkanlığına SEÇ ve Sürdürebilirlik Grup Direktörü (Sayın Cem ÇELEBİ)'nün ve üyeliklere Genel Müdür (Sayın Hamdi ALP), Santral Direktörü (Sayın Rıdvan Edip AKDENİZ), SEÇ ve Sürdürülebilirlik Yöneticisi (Sayın Tülin YILMAZ), Sayın Ayben KOY ve Sayın Kemal USLU'nun getirilmesine,

oy birliği ile karar verilmiştir.

Kurumsal Yönetim Tebliği uyarınca kurulan komitelerin çalışma esasları internet sitemizde yayınlanmaktadır.

Kamuoyuna saygıyla duyurulur.

At the meeting of our Board of Directors dated 11.06.2024 and numbered 2024/21;

Within the framework of the provisions of the Capital Markets Board's Corporate Governance Communiqué numbered II-17.1:

- The Audit Committee shall consist of 2 members and Ms. Ayben KOY shall be the Chairperson and Mr. Kemal USLU shall be the member,

- The Corporate Governance Committee to be composed of 3 members and Mr. Kemal USLU to be the Chairperson and Ms. Ayben KOY and Investor Relations Executive (Mr. Hüseyin KONUR, natural committee member) to be the members,

- The Early Detection of Risk Committee to consist of 3 members and to appoint Ms. Ayben KOY as its Chairperson and Mr. Kemal USLU and Financial Affairs Director (Mr. Ahmet Ersoy ÖNAL) as members,

- The Investment Committee to be composed of 6 members and Mr. Mehmet Akif GÜL to be the Chairperson and the Group Chief Financial Officer (Mr. Galip AYKÖSE), General Manager (Mr. Hamdi ALP), Financial Affairs Director (Mr. Ahmet Ersoy ÖNAL), Ms. Ayben KOY and Mr. Kemal USLU to be the members,

- The Sustainability Committee to consist of 6 members, with Group Director of HSE and Sustainability (Mr. Cem ÇELEBİ) as the Chairperson and the General Manager (Mr. Hamdi ALP), Power Plant Director (Mr. Rıdvan Edip AKDENİZ), HSE and Sustainability Manager (Ms. Tülin YILMAZ), Ms. Ayben KOY and Mr. Kemal USLU as members,
