Our Company's Board of Directors has adopted the following Resolution No. 03 dated 13.03.2025:

Within the framework of our company's vision for holding structuring, balanced and stable growth, and income diversification, and in order to invest in strategic sectors, particularly in the pasta industry aimed at exports, research has been conducted. As a result, it has been determined that pasta is a widely known food product across all cultures, offering ease of access and cooking, being nutritious, affordable, and having a high consumption rate. A significant portion of its production is exported, and our country is among the key players in this field. Considering these findings and evaluations, as well as our company's subsidiary's long-standing industry experience in raw material supply and storage:

a) In order to engage in production and commercial activities in the food and agriculture sector, primarily in pasta production, a company named Pastanza Gıda Anonim Şirketi will be established at the address Cumhuriyet Mahallesi Alpaslan Türkeş Bulvarı N:108-A Kırıkhan, Hatay , with a capital of 150,000,000 TL . The shareholding structure will be as follows: 5% owned by our company, 45% by our wholly-owned subsidiary Özova Tarım A.Ş. (with a total direct and indirect ownership of 50%), and 45% by Lydia Holding A.Ş. The company will be incorporated with the articles of association attached.

b) Our company will commit 7,500,000 TL in capital to the newly established company, and one-quarter (¼) of this amount, i.e., 1,875,000 TL , will be deposited into the bank account to be opened in the name of the new company before the registration process at the trade registry. The remaining amount will be deposited into the relevant bank account of the company in installments determined by the board of directors after registration.

This decision has been unanimously approved by the participants.
