Within the scope of our Company's material event disclosures dated 02.06.2025 and 05.06.2025, it was publicly disclosed, in summary, that:

Following negotiations conducted with Oasis Prime FZCO (the "Fund"), which was established as an investment fund under the laws of the Emirate of Dubai;
among our Company Grainturk Holding A.Ş., our wholly owned subsidiary Özova Tarım A.Ş., and the Fund, which is the sole shareholder,

an agreement was reached for the Fund to provide debt equity hybrid financing to Özova Tarım A.Ş., and a "Debt Equity Hybrid Financing Agreement" (the "Agreement") was executed.

Pursuant to the Agreement, it was disclosed that, following the capital increase, a private placement capital increase would be carried out in favor of the Fund for shares corresponding to 3% of the share capital of Özova Tarım A.Ş., to be allocated to the Fund.

At the current stage, by the mutual consent of the parties, it has been agreed to revise the debt equity hybrid financing provided by the Fund to Özova Tarım A.Ş. such that, following the private placement capital increase to be made in favor of the Fund, the Fund's shareholding will correspond to 2.5% of the share capital of Özova Tarım A.Ş..
