oda_ExplanationTextBlock|		II-17.1 sayılı Kurumsal Yönetim Tebliği'nin (Tebliğ) 4.3.7. maddesi gereği Aday belirleme Komitesinin görevini yapan Kurumsal Yönetim Komitesi önerisi üzerine Yönetim Kurulu'nun 04.03.2024 tarih ve 04 sayılı kararı ile 2023 yılı Olağan Genel Kurul Toplantısında, genel kurulun onayına sunulmak üzere belirlenen Bağımsız Yönetim Kurulu Üyesi aday listesi aşağıdaki şekildedir. -  Caner Bayazıt EMİROĞLU, -  Deniz Tamer MÜLAYİM, Sn. Caner Bayazıt EMİROĞLU ve Sn. Deniz Tamer MÜLAYİM Kurumsal Yönetim İlkelerinin Belirlenmesine ve Uygulanmasına İlişkin Tebliğ'in 4.3.6 maddesi kapsamında kriterlerin tamamını taşımaktadır. Söz konusu liste Tebliğin 4.3.7. nolu maddesi uyarınca Sermaye Piyasası Kurulu'nun onayına sunulmuş ve Sermaye Piyasası Kurulu'nun 14.03.2024 tarih ve 15/417 sayılı toplantısında, listede yer alan adayların  Kurumsal Yönetim İlkeri'nin 4.3.6. nolu maddesinde yer verilen şartları taşıdıklarına ilişkin bağımsızlık beyanları ve özgeçmişleri dikkate alınarak, anılan yönetim kurulu bağımsız üye adayları hakkında herhangi bir olumsuz görüş bildirilmemesine karar verilmiştir. Kamuoyuna saygıyla duyurulur. İşbu açıklamamızın İngilizce çeviri metinlerinde herhangi bir farklılık olması durumunda, Türkçe açıklama esas kabul edilecektir.		4.3.7 of the Corporate Governance Communiqué numbered II-17.1 (Communiqué). The list of Independent Board Member candidates determined by the Board of Directors, with its decision dated 04.03.2024 and numbered 04, to be submitted to the approval of the general assembly at the 2023 Ordinary General Assembly Meeting, upon the recommendation of the Corporate Governance Committee, which acts as the Nominating Committee in accordance with the article, is as follows. - Caner Bayazıt EMİROĞLU, - Deniz Tamer MÜLAYİM, Mr. Caner Bayazıt EMİROĞLU and Deniz Tamer MÜLAYİM meet all the criteria within the scope of Article 4.3.6 of the Communiqué on the Determination and Implementation of Corporate Governance Principles. The list in question is included in Article 4.3.7 of the Communiqué. It was submitted to the approval of the Capital Markets Board in accordance with article no. and at the meeting of the Capital Markets Board dated 14.03.2024 and numbered 15/417, the candidates on the list were determined to comply with Article 4.3.6 of the Corporate Governance Principle. It has been decided not to express any negative opinions about the independent member candidates of the said board of directors, taking into account their independence declarations and CVs indicating that they meet the conditions stated in article no. This statement has been translated into English for informational purposes. In case of a discrepancy between the Turkish and the English versions of this disclosure statement, the Turkish version shall prevail.
