12 Kasım 2025 tarihli özel durum açıklamamız ile Bankamızın 26 Mart 2025 tarihinde yapılan olağan genel kurul toplantısında alınan kararların iptali talebiyle açılan davada, davacının duruşmaya katılmaması üzerine İstanbul 10. Asliye Ticaret Mahkemesi'nce davanın Hukuk Muhakemeleri Kanunu uyarınca taraflardan biri tarafından yenileninceye kadar işlemden kaldırılmasına karar verildiği kamuya duyurulmuş olup, davacının yenileme talebinde bulunması üzerine mahkemece davanın kaldığı yerden devamına karar verildiği öğrenilmiştir.

Bankamız genel kurulunda alınan kararlar TTK, BDDK ve SPK düzenlemelerine uygundur. Bu çerçevede Bankamızın ve yatırımcılarımızın haklarının korunması için tüm yasal haklarımız kullanılacak olup, davaya ilişkin önemli gelişmeler kamuya duyurulacaktır.

İşbu açıklamamızın İngilizce çevirisi eş anlı kamuya açıklanmış olup, açıklama metinlerinde herhangi bir farklılık olması durumunda Türkçe açıklama esas kabul edilecektir.

Our public disclosure dated November 12, 2025; we announced that in the lawsuit filed for the annulment of the resolutions taken at the General Assembly Meeting of our bank held on 26 March 2025, the Istanbul 10th Commercial Court decided to remove the case from the docket due to the plaintiff's failure to attend the hearing, in accordance with the Turkish code of çivil procedure, until it is renewed by one of the parties. It has been learned that the court decided to continue the proceedings from where they had been left out, upon the plaintiff's request for renewal.

The decisions taken at our bank's general assembly comply with the regulations of the Turkish Commercial Code, BRSA and CMB. In this framework all our legal rights will be used to protect the rights of our bank and our investors, and important developments regarding the case will be announced to the public.

This statement has been translated into English and simultaneously announced for informational purposes. In the event of any discrepancy between the Turkish and the English versions, the Turkish version shall prevail.
