Our company 1000 Yatırımlar Holding A.Ş., has completed the acquisition process of the capital shares of Ufuk Yatırım Yönetim ve Gayrimenkul A.Ş. ("Ufuk Yatırım") together with other buyers.

In relation to the purchase of shares with a nominal value of 43.579.642,10 TL from the shares owned by our Company Yıldız Holding A.Ş. ("Seller") in the capital of Ufuk Yatırım, a Share Purchase and Sale Agreement ("Agreement") was signed on 14.06.2024 between the Seller and our Company and other buyers Lydia Holding A.Ş., Lydia Yeşil Enerji Kaynakları A.Ş ., Bulls Yatırım Holding A.Ş., Bulls Yatırım Menkul Değerler A.Ş., Re -Pie Portföy Yönetimi Anonim Şirketi (on behalf of Private Portfolio Management Service Provided Clients) and announced on the Public Disclosure Platform on the same date.

Pursuant to the agreement, it has been agreed that the company shares with a nominal value of 43.579.642,10 TL owned by the Seller in the capital of Ufuk Yatırım will be transferred for;

- 67% of the shares with a nominal value of 29.198.360,207 TL (corresponding to 62.33% of Ufuk Yatırım's capital) to our Company Lydia Holding A.Ş;

- 3% of the shares with a nominal value of 1.307.389,26 TL (corresponding to 2.79% of Ufuk Yatırım's capital) to our subsidiary Lydia Yeşil Enerji Kaynakları A.Ş;

- 3% of the shares with a nominal value of 1.307.389,26 TL (corresponding to 2.79% of Ufuk Yatırım's capital) to 1000 Yatırımlar Holding A.Ş;

- 4.5% of the shares with a nominal value of 1.961.083,89 TL (corresponding to 4.19% of Ufuk Yatırım's capital) to Bulls Yatırım Menkul Değerler A.Ş;

- 3% of the shares with a nominal value of 1.307.389,26 TL (corresponding to 2.79% of Ufuk Yatırım's capital) to Bulls Yatırım Holding A.Ş;

- 19.5% of the shares with a nominal value of 8.498.030,21 TL (corresponding to 18.14% of Ufuk Yatırım's capital) to Re-Pie Portföy Yönetim A.Ş. (Private Portfolio Management Service Provided Clients);

a total consideration of 48.000.000 USD.

Within the scope of the agreement, the transfer of shares was realized on 09.12.2024 at a price of;

- 32.160.000 USD by Lydia Holding A.Ş;

- 1.440.000 USD by Lydia Yeşil Enerji Kaynakları A.Ş;

- 1.440.000 USD by 1000 Yatırımlar Holding A.Ş;

- 2.160.000 USD by Bulls Yatırım Menkul Değerler A.Ş;

- 1.440.000 USD by Bulls Yatırım Holding A.Ş;

- 9.360.000 USD by Re-Pie Portföy Yönetim A.Ş. (Private Portfolio Management Service Provided Clients);

and the closing transactions were completed as of 09.12.2024.
