(the "Issuer")
and unconditionally and irrevocably guaranteed by
William Hill Organization Limited
(incorporated with limited liability in England and Wales with registered number 00278208)
(the "Notes")
Notice is hereby given by the Issuer to the Noteholders that, pursuant to Condition 3.4 of the Notes and a supplemental trust deed dated 19 March 2014 (the "Supplemental Trust Deed") entered into between WHG (International) Limited (incorporated with limited liability in Gibraltar with registered number 99191) (the "Additional Guarantor") and The Law Debenture Trust Corporation p.l.c. (the "Trustee"), the Additional Guarantor has agreed to guarantee the obligations of the Issuer in respect of the Notes, the Coupons and the Trust Deed on terms mutatis mutandis as the Notes Guarantee including, but not limited to, such guarantee being joint and several, as of 19 March 2014. Terms defined in the terms and conditions of the Notes have the same meanings in this notice (except where otherwise defined).
Any Noteholder who wishes to inspect a copy of the Supplemental Trust Deed may do so during normal business hours at the registered office of the Issuer and the specified office of the Principal Paying Agent in London listed below:
