Deutsche Wohnen AG: Waiver to the put option possible starting from today

The issuer is solely responsible for the content of this announcement. —————————————————————————— Deutsche Wohnen AG intends to improve the positioning on the German residential market and to increase the Net Asset Value by acquisitions of residential property portfolios. However, a new direction for Deutsche Wohnen AG geared towards growth requires the cancellation of the domination agreement with DB Real Estate Management GmbH. Therefore it is intended to accomplish the possibilities in an Extraordinary General Meeting on March 23, 2006. In regard to the cancellation of the domination agreement it is necessary, so an indication given to Deutsche Wohnen AG, that 90% of the current registered shares will be converted into bearer shares by corresponding declarations of the shareholders. The conversion is associated with the necessary waiver of shareholders of Deutsche Wohnen AG to the put option (tender right, in German: “Andienungsrecht”) opposite to DB Real Estate Management GmbH in 2009. Deutsche Wohnen AG’s shares are currently quoted at EUR 229 (closing price on February 10, 2006 on XETRA). In contrast the calculational tender price price currently amounts to approximately EUR 110 per share. The conversion- resp. waiver form will be send to every shareholder of Deutsche Wohnen AG by letter dated today. Starting from today the form is also available in the download center on the website of Deutsche Wohnen AG http://www.deutsche-wohnen.de. The shareholder has to give the completed and signed conversion request to his custodian bank, this up to April 7, 2006 the latest. In regard to technical details of the process, German custodian banks will be informed by advices published today in the Wertpapier-Mitteilungen (German newspaper for banks).
