The Primrose Energy S.A. , Panama City, Republic of Panama and Dr. Shahab
Manzouri have informed us about the purpose of the acquisition and the
origin of the funds used for the acquisition of the shares and the related
voting rights amounting to 20.51% in DF Deutsche Forfait AG pursuant to §
27a WpHG on August, 13 2013:
The transaction is to achieve strategic goals. Primrose intends to develop
the company's business in the Middle East and Southeast Asia in the medium
term in order to take advantage from the German trade flows in this region.
Trade flows between Germany and Southeast Asia have substantially risen in
recent years and are expected to continue to increase. Primrose sees itself
in a position to promote the development of business relations between the
company and banks and other trading partners in the Middle East and
Southeast Asia due to its existing business relationships.
The reporting parties do not intend to acquire further voting rights in the
Company by purchase or in other ways within the next twelve months.
Primrose aims to change at the given time the composition of the
Supervisory Board of the Company, which reflects the changes in the
shareholding structure of the Company. Currently, no specific changes are
planned.
The reporting parties are not seeking to change the capital structure of
the company, especially with regard to the ratio of equity and debt
financing and the dividend policy.
The acquisition of shares of the company and the related voting rights
shall come the from own resources of the reporting parties.
