August 2000 BOV übernimmt Glance-Gruppe / BOV takes over Glance Group Schweizer E-Service-Firma hochprofitabel + BOV startet europaweite Expansion Swiss e-service company highly profitable + BOV starts Europe-wide expansion Die BOV Aktiengesellschaft, E-Service-Unternehmen im Business-to-Business- Bereich, übernimmt die Mehrheit der Schweizer Glance-Gruppe. Dabei wird Glance Standard Solutions (GSS) vollständig akquiriert, während von Glance Software Engineering (GSE) 80 Prozent der Anteile erworben werden. Mit der Übernahme beginnt BOV die angekündigte Expansion in den europäischen Markt und verstärkt die Marktposition bei webbasierten Lösungen komplexer IT-Projekte. Glance, eines der führenden Schweizer E-Service-Untemehmen, erzielte 1999 mit 45 Mitarbeitern einen Umsatz von 7,4 Mio. Schweizer Franken (= 9,3 Mio. DM). Im ersten Halbjahr 2000 erwirtschaftete das Softwareunternehmen eine EBIT-Marge von rund 22%. BOV bezahlt für die Anteile ca. 13,9 Mio. DM. Die Akquisition wird zu 45% in Barmitteln und zu 55% durch die Ausgabe neuer Aktien finanziert. Das Unternehmen wurde 1985 von Dr. Hans Bärfuss gegründet und hat sich vor allem mit anspruchsvollen Internet-Projekten einen Namen gemacht. Glance verstärkt den Geschäftsbereich “Applied Solutions” – die individuelle, webbasierte Softwareentwicklung von BOV. Die Schweizer besitzen mit der Eigenentwicklung “ActiveFrame” eine Software-Architektur, die Ausgangspunkt für die Realisierung individueller E-Business-Lösungen auf Basis standardisierter Softwarekomponenten ist. In Kombination mit der BOV Software Library führt das zu leistungsfähigen Softwarestandardkomponenten für Geschäftsprozesse. Die Kunden profitieren durch eine schnellere Entwicklung individueller Lösungen, bei gleichzeitig effizienterer Abwicklung durch die BOV-Gruppe. Durch Glance wird BOV zudem in die Lage versetzt, das komplette Leistungsspektrum im alpenländischen Raum anzubieten. Zu den Kunden von Glance zählen Großunternehmen wie Credit Suisse, Novartis, ABB, Siemens, Ciba und die Schweizer Rentenanstalt. Gemeinsame Kunden, wie Ciba können zukünftig noch umfassender bedient werden. Dr. Hans Bärfuss und Dr. Hans-Rudolf Aschmann, Geschäftsführer von Glance, werden weiterhin unternehmerisch für die Aktivitäten von Glance verantwortlich zeichnen und die Präsenz der BOV-Gruppe in Österreich und der Schweiz forcieren. Bärfuss und Aschmann haben sich zu einer gestaffelten Lockup-Periode von 12 und 24 Monaten verpflichtet. Glance Standard Solutions (GSS) has been fully taken over and 80 per cent of Glance Software Engineering (GSE) acquired. With this take-over, BOV is beginning its expansion into the European market as already announced and is consolidating its market position in web-based solutions for complex IT projects. Glance, one of the leading Swiss e-service companies, achieved sales of 7.4 million Swiss francs (= DM 9.3 million) in 1999 with a staff of 45. This software company attained an EBIT margin of some 22 % in the first six months of 2000. BOV paid approx. DM 13.9 million for its holding. The take-over will be financed to 45 % in cash and up to 55 % by issuing new shares. The company was founded in 1985 by Dr. Hans Bärfuss and has gained a solid reputation primarily in up-market Internet projects. Glance will add strength to the Applied Solutions Division – BOV’s customized web-based software development arm. With its own “ActiveFrame” development, the Swiss company is in possession of a software architecture which provides the basis for implementing customized e-business solutions based on standard software components. In combination with the BOV Software Library this will result in high-performance standard software components for business processes. Clients will profit from faster development of customized solutions whilst enjoying efficient order processing through the BOV Group at the same time. Thanks to Glance, BOV will have the ability to offer the complete range of services in the Alpine region. Glance’s clients include such major corporations as Credit Suisse, Novartis, ABB, Siemens, Ciba and the Swiss pensions institution. In future joint clients such as Ciba can expect more comprehensive service. Dr. Hans Bärfuss and Dr. Hans-Rudolf Aschmann, Managing Director of Glance, will share joint responsibility for the business activities of Glance and boost the advance the of the BOV Group in Austria and Switzerland, Bärfuss and Aschmann have committed themselves to a tiered lock-up period of 12 and 24 months.
