The purchase price will be financed from the proceeds from the capital increase affected in the context of the IPO at the end of March. The companies acquired are active in the fields of telecom solutions for corporate clients, systems development and distribution. The acquired group is expected to book sales for 2006 in excess of EUR 12 million and EBT of about EUR 1.2 million. The acquisition includes existing cash reserves totaling EUR 740 thousand. DSLCOMP Communications GmbH is a long-standing provider of telecommunications voice, data and value-added services with a focus on business clients and supports in excess of 7,500 small and medium-sized business clients nationwide. Distribution of the various telecom products and services is handled both through its sister company RC Communications GmbH, which has its own call center, and via 200 long-standing distribution partners. Phasefive AG supports various telephone companies in Germany – in the core segment of software development and billing solutions. ecotel is thus moving the expansion of its position in the business client market forwards and intensifying distribution of its “Internet telephony solutions (VoIP)”. Furthermore, ecotel believes the acquisition will offer synergies in procurement and boost efficiencies through an optimization of the organizational structure. The three companies will initially continue to function as independent ecotel subsidiaries. Complete integration of both companies is scheduled for the near future. The approx. 25 members of staff in the group will all be taken on by ecotel.
