The issuer is solely responsible for the content of this announcement. ——————————————————————————– +++ Capital Stage AG sells majority stake in Capital Stage Brokerage GmbH +++ Today, Capital Stage AG has sold 70% of its shareholding in its subsidiary Capital Stage Brokerage GmbH, Frankfurt, to FINBURG GmbH, Hamburg. Prior to the disposal, Capital Stage had transferred its 10% stake in the Munich-based research firm performaxx AG to Capital Stage Brokerage GmbH. The Capital Stage group will retain an interest of 30% in Capital Stage Brokerage GmbH, but the latter’s financial results will no longer be consolidated in the Capital Stage group’s accounts as from 1 October this year. Germany’s Federal Agency for Financial Market Supervision (BAFin) has the right to block the divestment of this shareholding in Capital Stage Brokerage GmbH within three months of its official announcement. Capital Stage AG has already returned the licence it was granted under the German Banking Act (KWG) that allowed it to engage in businesses such as securities-related services, investment advice, portfolio management, futures transactions and issuing business. This divestment completes – subject to final approval – Capital Stage’s withdrawal from banking, which was decided at its general meeting of shareholders on 23 August 2002. In future, the company will focus on its equity investments business (especially private equity) for fast-growing small and medium-sized enterprises. Now that Capital Stage Brokerage GmbH has been sold, the Capital Stage group employs a staff of approximately 30. Capital Stage Brokerage GmbH will focus on businesses such as equity and bond trading, market-making and designated sponsoring.
