The Board of Managing Directors and the Supervisory Board of Energiekontor AG, registered in Stuhr/Brinkum near Bremen, have passed the necessary resolutions to take over the wind farm developer Energiekontor WSB GmbH & Co. Wind-Solar-Bau KG (WSB KG) from Bremerhaven. The price for the takeover will be paid in shares of the Energiekontor AG from the authorised capital approved at the Annual General Meeting on the 6th of March 2000 for contribution in kind. The share capital of Energiekontor AG will be increased from EUR 3,770,000 by EUR 127,897 to EUR 3,897,897 by this move. As customary on capital increases for contribution in kind, the granting of pre- emptive subscription rights to existing shareholders is excluded according to Art. 186 (3) AktG (German Stock Corporation Act).
