Energiekontor AG carries out share split at a 1:4 ratio Ad-hoc-announcement transmitted by DGAP. The issuer is solely responsible for the content of this announcement. ——————————————————————————– Energiekontor AG carries out share split at a 1:4 ratio Bremen, 25th October 2001. 11,693,691 new shares from Energiekontor AG will be released for trading on the stock exchange on Wednesday the 7th November 2001. The ordinary shareholders’ meeting of Energiekontor AG on the 23rd August 2001 had already decided, amongst other things, to increase the share capital from EUR 3,897,897 by means of converting part of the capital reserves shown in the balance sheet on 31.12.2000 by EUR 11,693,691 up to EUR 15,591,588. As a result the general meeting passed a resolution for the new division of the share capital in such a way that instead of one old bearer share certificate having an accounting par value of EUR 1.00 in the share capital per share certificate, there will be four new share certificates. Accordingly the share capital is divided up into 15,591,588 share certificates. The corresponding amendments to the company statutes were entered into the commercial register maintained at the local court in Bremen. Carrying out a share split is also associated with a change in the way in which the company is listed on the stock exchange. The way of price fixing for all shares in Energiekontor AG – SIN 531 350 – in the Neuer Markt on the Frankfurt stock exchange will be changed with effect from 7th November 2001 onwards. Stock exchange transactions in hand but not yet carried out will expire at the end of the 6th November 2001. The depositary banks will transfer the deposit balances in Energiekontor AG shares as they are after the close of the session on the 6th November 2001 at a 1:4 ratio. The respective holding of a shareholder in the share capital of Energiekontor AG will not be changed as a result. The depositary transfer will be free of charge for the shareholders who will not have to arrange this.
