that their percentage of total voting rights in Fresenius SE & Co. KGaA,
Else-Kröner-Str. 1, 61352 Bad Homburg v. d. H., Germany, exceeded the
threshold of 5% on March 11, 2015 and amounted to 5.003% (equivalent
to 27,116,943 voting rights out of a total of 542,008,605 voting rights) as
per this date.
2.08% of voting rights (equivalent to 11,266,330 voting rights) are
attributable to BlackRock Holdco 2, Inc., pursuant to section 22 para. 1
sent. 1 no. 1 WpHG.
0.002% of voting rights (equivalent to 8,366 voting rights) are
attributable to BlackRock Holdco 2, Inc., pursuant to section 22 para. 1
sent. 1 no. 2 WpHG in connection with section 22 para. 1 sent. 2 WpHG.
3.28% of voting rights (equivalent to 17,796,920 voting rights) are
attributable to BlackRock Holdco 2, Inc., pursuant to section 22 para. 1

Germany, exceeded the threshold of 5% on March 11, 2015 and amounted to
5.003% (equivalent to 27,116,943 voting rights out of a total of
542,008,605 voting rights) as per this date.
