group internal transfer of shares - as follows:
The share of voting rights of Dresdner Bank Aktiengesellschaft, Frankfurt
am Main, in GEA Group Aktiengesellschaft, Bochum, fell below the threshold
of 10% on May 16th, 2008, and amounted afterwards to 7.77 %, which equals
14.287.351 voting rights in GEA Group Aktiengesellschaft.
On 21 May 2008, Allianz Finanzbeteiligungs GmbH informed us - due to a
group internal transfer of shares - as follows:
The share of voting rights of Allianz Finanzbeteiligungs GmbH, Munich, in
GEA Group Aktiengesellschaft, Bochum, fell below the threshold of 10% on
May 16th, 2008, and amounted afterwards to 7.77 %, which equals 14.287.351
voting rights in GEA Group Aktiengesellschaft. All such voting rights are
attributable to Allianz Finanzbeteiligungs GmbH according to Sec. 22 para.
1 sentence 1 no. 1 WpHG. Thereby, the voting rights of Dresdner Bank
Aktiengesellschaft, Frankfurt am Main, in GEA Group Aktiengesellschaft,
which amount to 3 % or more, are attributed to Allianz Finanzbeteiligungs
GmbH.
The share of voting rights of Allianz SE, Munich, in GEA Group
Aktiengesellschaft has not changed in a way which causes a duty of
notification.
