Yönetim Kurulu'nun 30.03.2026 tarihli kararı aşağıda yer almaktadır:

Sermaye piyasası mevzuatı ile Şirket Esas Sözleşmesinin 13. maddesi çerçevesinde, Şirketimiz yönetimi tarafından hazırlanan ve PwC Bağımsız Denetim ve Serbest Muhasebeci Mali Müşavirlik Anonim Şirketi tarafından denetlenen, 10 Eylül 2025 – 31 Aralık 2025 hesap dönemine ilişkin, Türkiye Muhasebe Standartları ve Türkiye Finansal Raporlama Standartları ("TMS/TFRS") esasına göre hazırlanan finansal tablolar ile yasal kayıtlara göre oluşan finansal tabloların incelenmesi sonucunda ekte yer alan kar dağıtım tablosundan da görüldüğü üzere;

Şirketimizin TTK ve Vergi Usul Kanunu'na (VUK) uygun olarak hazırlanan 10.01.2025-31.12.2025 hesap dönemine ilişkin solo finansal tablolarında net dönem zararı 3.371.278,35 TL'dir.

Aynı döneme ait Sermaye Piyasasında Finansal Raporlamaya İlişkin Esaslar Tebliği (II-14.1) hükümleri dâhilinde, TMS/TFRS'ye uygun olarak hazırlanan, bağımsız denetimden geçmiş, solo finansal tablolarda ise 167.723.757 TL net dönem zararı bulunmaktadır.

10.09.2025-31.12.2025 hesap dönemine ilişkin TTK ve Vergi Usul Kanunu (VUK)/TMS/TFRS'ye uygun olarak hazırlanan, bağımsız denetimden geçmiş, finansal tablolarda net dönem zararı bulunmasından dolayı kar dağıtımı yapılmamasının, Genel Kurulumuzun görüş ve onayına sunulmasına karar verilmiştir.

Şirketimizin 27.04.2026 tarihinde gerçekleştirilen 2025 yılına ilişkin olağan genel kurulunda Yönetim Kurulunun kar dağıtılmamasına ilişkin önerisi kabul edilmiştir.
