The issuer is solely responsible for the content of this announcement. ——————————————————————————– Geratherm Medical AG: Shareholders pass resolution on 20 cent dividend payment Geratherm Medical AG, 16 June 2003: At today’s Ordinary Shareholders’ Meeting held in Frankfurt am Main, the shareholders of Geratherm Medical AG, a Prime Standard listed company and a manufacturer and distributor of systems for the measurement and transmission of vital data based in Geschwenda, Germany, have passed a resolution to distribute among the shareholders dividends totalling 900,000.00 Euro out of the net profit from the annual commercial account for 2002, which amounted to 4,492,776.60 Euro. This corresponds to a dividend of 0.20 Euro per ordinary share (Securities Code Number [WKN] 549562) for the 4,500,000 current dividend-bearing shares. The remaining sum of 3,592,776.60 Euro will be carried forward. No tax credit is associated with the dividend, since the distributed dividends are to be taken from fiscal equity capital in accordance with § 30 para. 2 point 4 of the Corporation Tax Law (KStG). In accordance with § 20 para. 1 point 1 clause 3 of the Income Tax Law (EStG), the payment of dividends to the shareholders constitutes non-taxable income (i.e. income that is not liable to taxation). All other items on the agenda were also approved by a large majority. In his report to the Shareholders’ Meeting, the Chairman of the Board of Directors, Dr Gert Frank, referred to the positive development of business in the past financial year. For the current year, 2003, the Board foresees continued positive development and a two-figure increase in sales at the same level of profitability.
