Item 8.01. Other Events.

       On August 15, 2007, Expedia, Inc. issued a press release announcing the final results of its modified “Dutch auction” tender offer that expired at 5:00 p.m., New York City time, on August 8, 2007, and announcing that Expedia has accepted for purchase 25,000,003 shares of its common stock at a purchase price of $29.00 per share. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
