RB 7/2026 Execution of a Novation, Amendment and Extension Agreement inRelation to the Financing Agreement; The Company announces that today ithas entered into a novation, amendment, and extension agreement (the"Novation Agreement") of the financing agreement dated 11 December 2023(which was disclosed to the market on the same day by means of an OtherRelevant Information announcement with registration number 25747) (the"Original Financing Agreement") with apool of financing entities composed of Bilbao Vizcaya Argentaria, S.A.,BNP Paribas Bank Polska, S.A., Bank Polska Kasa Opieki S.A., eskSpoitelna, A.S., Coöperatieve Rabobank, U.A., ING Bank Śląski S.A.,Powszechna Kasa Oszczędności Bank Polski S.A., Banco Santander, S.A. andErste Bank Polska, S.A. (the "Lenders"), BBVA and ING acting assustainability coordinators and Banco Santander as agent.; The NovationAgreement has been entered into with the purpose of improving the termsof the Original Financing Agreement, extending its term at a smallercost. The main terms and conditions of the Novation Agreement are asfollows:;- the reorganization of the tranches structure ofthe Original Financing Agreement, increasing the revolving tranche foran additional amount of up to 100.000.000 to finance the Groupcirculating capital needs;- theamendment of the amortization schedule of the Original FinancingAgreement, including a two-year grace period from the Novation Agreementsigning date and the extension of the maturity date to 2031.Additionally, it includes two potential one-year extensions, subject tothe Lenders' approval;- thereduction of the margin and the amendment of certain covenants andbaskets of the Original Financing Agreement to adjust them to theCompany's business plan; and;- the possibility ofadding one or more additional 'accordion' facilities in severaltranches, for an aggregate amount up to 300.000.000.;The FinancingAgreement, as amended pursuant to the Novation Agreement, remainssubject to compliance with customary undertakings for this type oftransactions (including the maintenance of certain financial ratios) andbenefits from guarantees granted by certain companies within theGroup.;The conditions precedent to which the Novation Agreement issubject have been satisfied, except with respect to certain fundtransfers required to be made thereunder, which are expected to becompleted before the end of this week.; Legal act: Art. 5 Sec. 1 (b) ofRegulation (EU) No 596/2014 of The European Parliament and of TheCouncil of 16 April 2014 on market abuse (MAR) and repealing Directive2003/6/EC of the European Parliament and of the Council and CommissionDirectives 2003/124/EC, 2003/125/EC and 2004/72/EC
