ARQUES Industries AG takes over chemical company, Oxxynova, from Degussa

The issuer is solely responsible for the content of this announcement. —————————————————————————— ARQUES takes over chemical company, Oxxynova, from Degussa Starnberg, September 11, 2006 – The Starnberg-based equity investment company, ARQUES Industries AG (ISIN DE0005156004), has agreed with Degussa on the acquisition of the chemical company, Oxxynova GmbH & Co. KG, in Marl. The transaction has been presented to the Federal Cartel Office (Bundeskartellamt) for merger control and is subject to approval by the relevant boards. The purchase price amounts to EUR 22 million. Oxxynova generated annual revenues to the value of EUR 182 million with approximately 200 employees in 2005. The company is profitable and was taken over free of financial liabilities. By way of the acquisition, the ARQUES group clearly exceeds its published annualised group revenues goal for 2006 of one billion Euro. Oxxynova is European leader in the production and marketing of dimethylterephthalate (DMT) in liquid and solid form. DMT is a preliminary product in polyester production. The customer base consists mainly of large customers in the blue chip range. The chemical company produces DMT in its plants in Steyerberg (between Hanover and Bremen) and in Lülsdorf (between Cologne and Bonn); management, administration and marketing are located in Marl.
