With letter of March 12, 2014, we have been notified of the following:
A. KL Holding GmbH, Zossen, Germany, has informed us according to Article
21, Section 1 WpHG that its Voting Rights in HeidelbergCement AG,
Heidelberg, Germany, have exceeded the thresholds of 3%, 5%, 10%, 15% 20%
and 25% of the Voting Rights on March 12, 2014 and on that day amounted to
25.428% (this corresponds to 47,782,702 Voting Rights).
From these, 0.476% (895,337 Voting Rights) are attributed to KL Holding
GmbH according to Article 22, Section 1 Sentence 1 no. 1 WpHG.
B. Kötitzer Ledertuch- und Wachstuch-Werke GmbH, Zossen, Germany, has
informed us according to Article 21, Section 1 WpHG that its Voting Rights
in HeidelbergCement AG, Heidelberg, Germany have exceeded the thresholds of
3%, 5%, 10%, 15% 20% and 25% of the Voting Rights on March 12, 2014 and on
that day amounted to 25.428% (this corresponds to 47,782,702 Voting
Rights).
From these, 0.298% (559,721 Voting Rights) are attributed to Kötitzer
Ledertuch- und Wachstuch-Werke GmbH according to Article 22, Section 1
Sentence 1 no. 1 WpHG.
Further 24.951% Voting Rights held by Spohn Cement Beteiligungen GmbH
(46,887,365 Voting Rights) are attributed to Kötitzer Ledertuch- und
Wachstuch-Werke GmbH according to Article 22, Section 2 WpHG.
C. UBH Holding GmbH, Zossen, Germany, has informed us according to Article
21, Section 1 WpHG that its Voting Rights in HeidelbergCement AG,
Heidelberg, Germany have exceeded the 25% threshold of the Voting Rights on
March 12, 2014 and on that day amounted to 25.133% (this corresponds to
47,228,981 Voting Rights).
These Voting Rights are attributed according to Article 22, Section 1
Sentence 1 no. 1 WpHG to UBH Holding GmbH in the amount of 24,954%
(46,893,365 Voting Rights) via the following enterprises controlled by UBH
Holding GmbH, whose share of Voting Rights in HeidelbergCement AG each
amount to 3% or more:
- UBH Spohn GmbH
- Spohn Cement Beteiligungen GmbH
- Piwa GmbH
- VEM Beteiligungen GmbH
- Horst Plaschna Management GmbH & Co. Beteiligungssanierungs- und verkaufs

- VEM Vermögensverwaltung Aktiengesellschaft

Further 0.179% (335,616 Voting Rights) are attributed to UBH Holding GmbH
according to Article 22, Section 2 WpHG.
D. Piwa GmbH, Zossen, Germany, has informed us according to Article 21,
Section 1 WpHG that its Voting Rights in HeidelbergCement AG, Heidelberg,
Germany have exceeded the thresholds of 3%, 5%, 10%, 15%, 20% and 25% of
the Voting Rights on March 12, 2014 and on that day amounted to 25.133%
(this corresponds to 47,228,981 Voting Rights).
These Voting Rights are attributed according to Article 22, Section 1
Sentence 1 no. 1 WpHG to Piwa GmbH in the amount of 24.954% (46,893,365
Voting Rights) via the following enterprises controlled by Piwa GmbH, whose
share of Voting Rights in HeidelbergCement AG each amount to 3% or more:
