The issuer is solely responsible for the content of this announcement. —————————————————————————— Essen, as of February 28, 2005 / HOCHTIEF Aktiengesellschaft intends to establish an investment partnership with a number of financial investors with regards to its existing airport participations and new airport projects. For this purpose, HOCHTIEF Aktiengesellschaft plans to contribute approximately one third of its interests in each of the airports of Athens, Düsseldorf and Hamburg, and 49% of its shares in Sydney Airport, to a holding company and sell stakes in this company to a group of international financial investors. Management of the holding company and of future joint airport projects will be assumed by HOCHTIEF Airport GmbH, a wholly owned subsidiary of HOCHTIEF Aktiengesellschaft. Hastings Funds Management Ltd., Caisse de dépôt et placement du Québec and KfW IPEX-Bank (Kreditanstalt für Wiederaufbau) are in discussions with HOCHTIEF Aktiengesellschaft. While discussions are proceeding well, no final agreement has been concluded.
