We, Schroders plc. and Schroder Administration Limited, write to advise
you, in accordance with the EU Transparency directive that our shareholding
in Hochtief AG crossed above the 3% threshold on 20th January 2007 and is
now 3,98% of the total number of Hochtief AG shares in issue, namely
70,000,000. These shares are attributed to us according to section 22,
paragraph 1, sentence 1, number 6 and sentence 2 and 3 of the
Wertpapierhandelsgesetz.
We, Schroder Investment Management Ltd, write to advise you, in accordance
with EU Transparency directive that our shareholding in Hochtief AG crossed
above the 3% threshold on 20th January 2007 and is now 3,98% of the total
number of Hochtief AG shares in issue, namely 70,000,000. These shares are
attributed to us according to section 22, paragraph 1, sentence 1, number 6
of the Wertpapierhandelsgesetz.
