HOCHTIEF Pension Trust e.V. has notified the Executive Board of HOCHTIEF
Aktiengesellschaft that it intends to sell on the stock market up to
2,100,950 shares in HOCHTIEF Aktiengesellschaft. This number corresponds to
approximately three percent of the total number of shares in HOCHTIEF
Aktiengesellschaft. If the entire number is sold, HOCHTIEF Pension Trust
e.V. will subsequently hold no more shares in HOCHTIEF. The Executive Board
of HOCHTIEF Aktiengesellschaft has resolved to approve the sale by HOCHTIEF
Pension Trust e.V.
The shares will be sold, without undue share price impact, exclusively on
the stock market between February 23, 2010 and June 30, 2010. The sale will
be carried out by a bank mandated by HOCHTIEF Pension Trust e.V. and in
accordance with the requirements set out in Articles 4 to 6 of Commission
Regulation (EC) No 2273/2003 of December 22, 2003.
