By the company referred to below we were given notice on July 30, 2012,
pursuant to section 25a para. 1 of the German Securities Trading Act
(WpHG):
Dear Madams and Sirs,
We, ACS, Actividades de Construcción y Servicios, S.A., Madrid, Spain,
hereby notify you that on 24 July 2012 our aggregated holding in voting
rights in HOCHTIEF Aktiengesellschaft, Opernplatz 2, 45128 Essen, Germany,
within the meaning of Secs. 21 and 22 of the German Securities Trading Act,
in instruments within the meaning of Sec. 25 para. 1 sentence 1 of the
German Securities Trading Act, and in instruments within the meaning of
Section 25a para. 1 sentence 1 of the German Securities Trading Act
exceeded the thresholds of 5%, 10%, 15%, 20%, 25%, 30%, and 50% of the
voting rights in HOCHTIEF Aktiengesellschaft and on that day amounted to
67.27% of the voting rights in HOCHTIEF Aktiengesellschaft, corresponding
to 51,794,571 of a total number of 76,999,999 voting rights.
54.28% of these voting rights in HOCHTIEF Aktiengesellschaft, corresponding
to 41,794,571 of a total number of 76,999,999 voting rights in HOCHTIEF
Aktiengesellschaft, were holdings within the meaning of Secs. 21 and 22 of
the German Securities Trading Act and were either directly held by us or
attributed to us pursuant to Sec. 22 para. 1 sentence 1 no. 1 of the German
Securities Trading Act from shares in HOCHTIEF Aktiengesellschaft held by
our subsidiaries.
12.99% of these voting rights, corresponding to 10,000,000 of a total
number of 76,999,999 voting rights, were the subject-matter of an
instrument within the meaning of Section 25a para. 1 sentence 1 of the
German Securities Trading Act indirectly held by us. This instrument is
directly held by our subsidiary Cariàtide, S.A. and enables Cariàtide, S.A.
to acquire from ACS, Actividades de Construcción y Servicios, S.A. - under
certain circumstances - up to 10,000,000 voting shares in HOCHTIEF
Aktiengesellschaft until expiry of the instrument on 31 August 2015.
No instruments within the meaning of Sec. 25 para. 1 sentence 1 of the
German Securities Trading Act were held by us on that day.
