The issuer is solely responsible for the content of this announcement. —————————————————————————— Bergisch Gladbach, 12 July 2005 – INDUS Holding AG (ISIN DE0006200108) has acquired a 70% stake in Selzer Fertigungstechnik GmbH & Co. KG, Driedorf-Roth. The Selzer family retains a 30% stake. In the 2004 financial year, the specialist supplier for the automotive and electrical industry, which employs about 600 people, generated sales of approximately EUR80 million. Hans-Joachim Selzer, who has been managing partner of the company for over 20 years, will retain responsibility for operational development within the company. As a system supplier, Selzer holds an excellent market position and is audited at all large manufacturers. Selzer has extensive expertise in the development and production of complete, ready-to-install metal assemblies, particularly for manual transmission, brakes and engines. In addition, an entire range of services is provided from product development and prototyping through to production. Selzer generates the majority of its sales from manufacturers in the vehicle industry, with a focus on the area of commercial vehicles. Companies in the electrical industry form a second important customer group. With the concluded acquisition, INDUS Holding AG can continue its strategy of acquiring majority holdings in profitable niche companies. The investment portfolio currently comprises 41 medium-sized companies including Selzer. The forecast, given at the beginning of the year, to achieve sales and earnings growth comparable to the previous year’s, is confirmed by the Selzer acquisition. The comfortable liquidity position following this purchase is also likely to promote further investment.
