In order to refinance existing financial liabilities, including the outstanding notes (ISIN LV0000802718) and a loan from Signet Bank, as well as to finance the further growth of its lending portfolio, on 4 September 2025, AS DelfinGroup submitted documents to Nasdaq CSD to register new unsecured notes issue with the following characteristics:

Offer to existing investors

From 8 September to 22 September 2025, holders of the existing notes (ISIN LV0000802718, maturity date 25 February 2026) will have the opportunity to exchange their holdings for the new notes of AS DelfinGroup. Participants in the exchange offer will be entitled to receive a fee of 1% of the nominal value of the exchanged notes, payable within ten business days following the conclusion of the exchange period. Noteholders will receive detailed information and instructions regarding the exchange procedure from their respective custodians.

Noteholders holding LV0000802718 notes for at least EUR 100,000 are eligible for exchange offer.

The exchange offer and the issuance of the new notes are arranged by Signet Bank AS.
