Telia Lietuva, AB - Notification on material event

Appointed members of the Audit and Remuneration Committees of Telia Lietuva

The Board of Telia Lietuva, AB (hereinafter ‘the Company’) held on 7 June 2018 decided:

• To appoint the following members of the Board as the members of the Audit Committee: Agneta Wallmark, Tomas Balžekas (independent member of the Board) and Mindaugas Glodas (independent member of the Board). Members of the Audit Committee are appointed for the current term of the Board, i. e. till 27 April 2019. Agneta Wallmark was elected as the Chairwoman of the Audit Committee;
• To appoint the following members of the Board as the members of the Remuneration Committee for the term of one-year but in any case, not longer than until the term of their membership in the Board: Henriette Wendt, Claes Nycander and Mindaugas Glodas (independent member of the Board). Henriette Wendt was elected as the Chairwoman of the Remuneration Committee.

Following the Article 37² of the Law on Companies and based on the opinion of the Audit Committee of the Company, the Board allowed the Company to conclude the following related parties’ transaction:

• Service Agreement between Telia Lietuva, AB (service provider) and Telia Global Services Lithuania, UAB (service buyer) for the provision of Human Resource Management, Business Control, Legal, Communication, Internal Training & Development, Risk Management and other Services that might be necessary for Telia shared services center operations. Telia Global Services Lithuania, UAB, is a subsidiary of Telia Company AB (Sweden), and Telia Company AB holds 88.15 per cent of Telia Lietuva shares.
