LITGRID - Notification on material event

LITGRID AB entered into a cash pool agreement

The Lithuanian electricity transmission system operator LITGRID AB (hereinafter referred to as the Company) hereby notifies that on 27 September 2018 the Company entered into a cash pool agreement (hereinafter referred to as the Agreement) with the parent shareholder UAB EPSO-G (legal entity code: 302826889, registered address: A. Juozapavičiaus g. 13, LT-09311 Vilnius).

The Agreement sets forth the maximum lending limit for UAB EPSO-G – up to EUR 23 000 000 and the lending limit for LITGRID AB – up to EUR 20 000 000.

On 10 September 2018, the Audit Committee of UAB EPSO-G stated that the main terms and conditions of the cash pool agreement planned to be concluded between UAB EPSO-G and LITGRID AB regarding the use of the cash pool service by UAB EPSO-G are consistent with market conditions, are fair and reasonable with regard to the shareholders of LITGRID AB.
