KION GROUP AG: Release according to Section 26 para. 1 WpHG (the German
Securities Trading Act) with the objective of Europe-wide distribution
Voting rights notifications pursuant to Section 21 para. 1 WpHG
On February 17, 2015, KION GROUP AG, Abraham-Lincoln-Straße 21, 65189
Wiesbaden, Germany (ISIN DE000KGX8881, WKN KGX888) has received the
following voting rights notifications pursuant to Section 21 para. 1 WpHG:
1. ASF Walter Co-Invest GP Limited, George Town, Cayman Islands, has
informed us according to Section 21 para. 1 WpHG that on February 13,
2015 its share in the voting rights of KION GROUP AG exceeded the 3%,
5%, 10%, 15%, 20%, 25%, 30% and 50% threshold of voting rights and on
that day amounted to 52.13% (51,554,200 voting rights). Of this, 18.83%
(18,620,500 voting rights) were attributed to ASF Walter Co-Invest GP
Limited according to Section 22 para. 1 sentence 1 no. 1 WpHG and were
held by the following controlled undertakings:
- ASF Walter Co-Invest II L.P.
- Superlift Holding S.à r.l.
An additional 33.30% (32,933,700 voting rights) were attributed to ASF
Walter Co-Invest GP Limited according to Section 22 para. 2 WpHG and held
by Weichai Power (Luxembourg) Holding S.à r.l.
2. ASF Walter Co-Invest II L.P., George Town, Cayman Islands, has informed
us according to Section 21 para. 1 WpHG that on February 13, 2015 its
share in the voting rights of KION GROUP AG exceeded the 3%, 5%, 10%,
15%, 20%, 25%, 30% and 50% threshold of voting rights and on that day
amounted to 52.13% (51,554,200 voting rights). Of this, 18.83%
(18,620,500 voting rights) were attributed to ASF Walter Co-Invest II
L.P. according to Section 22 para. 1 sentence 1 no. 1 WpHG and were
held by the following controlled undertaking:
- Superlift Holding S.à r.l.
