Für den Inhalt der Mitteilung ist der Emittent verantwortlich. —————————————————————————— AC-Service verstärkt SAP Beratungskompetenz Rahmenvereinbarung über Beteiligung an dem schweizerischen SAP Consulting Unternehmen Process Partner AG unterzeichnet Stuttgart, 15.06.2000 – AC-Service beabsichtigt, die Zusammenarbeit mit der schweizerischen Process Partner AG in St. Gallen weiter auszubauen und durch eine finanzielle und managementmässige Verflechtung zu vertiefen. Eine entsprechende Rahmenvereinbarung wurde soeben unterzeichnet. Danach wird die AC-Service AG zum 1. Juli 2000 einen Anteil von 40% am entsprechend erhöhten Aktienkapital erwerben sowie die Mehrheit der Mitglieder des Verwaltungsrates stellen. Dadurch können ab diesem Stichtag Umsatz und operatives Ergebnis vollumfänglich in die Konzernrechnung einbezogen werden. Die Vereinbarung sieht darüber hinaus eine Option auf die Übernahme der restlichen 60% Anteile durch AC-Service vor. Die Process Partner AG beschäftigte Ende 1999 14 Mitarbeiter, davon 13 SAP Berater. Im vergangenen Geschäftsjahr wurde ein Umsatz von umgerechnet etwa 5 Mio. DEM sowie eine sehr gute operative Profitabilität ausgewiesen. Das Beratungshaus wurde mit dem Quality Award von SAP ausgezeichnet und bietet mit ProServ die einzige in der Schweiz von SAP qualifizierte Branchenlösung für die Dienstleistungsbranche. Die Verwendung einer solchen Branchenlösung beschleunigt die Einführung von SAP R/3 besonders bei mittelständischen Unternehmen erheb- lich, die Komplexität der Einführungsberatung und des Customizings wird reduziert. Zudem eröffnet die Kombination aus der jahrelangen Erfahrung von AC-Service im Bereich IT Outsourcing, dem profunden Branchenwissen und der Branchenlösung der Process Partner AG neue Möglichkeiten für AC-Service als Application Service Provider (ASP) für ausgewählte Segmente des Dienstleistungs- sektors. Mit dieser Beteiligung wird AC-Service einen weiteren Meilenstein im Rahmen der klar auf die Ausrichtung zum IT Dienstleister fokussierten Kooperations- und Akquisitionspolitik erreichen. A framework agreement to this effect has just been signed. Accordingly, AC Service AG will acquire an interest of 40% in the correspondingly increased share capital and appoint the majority of the members of the board. This will make it possible to fully incorporate sales and operating results into the group statement as from this date. In addition, the agreement stipulates an option for the acquisition of the remaining 60% of shares by AC-Service. At the end of 1999, Process Partner AG had a total staff of 14, among them 13 SAP consultants. In the previous fiscal year, the company showed sales amounting to approx. DEM 5 million and an excellent operating profitability. The consulting company has been awarded the Quality Award from SAP, and with ProServ it is offering the only SAP-qualified industry-specific solution for the services business industry in Switzerland. The application of such an industry-specific software substantially speeds up the implementation of SAP R/3 especially in medium-sized companies; the implementation, consulting and customising expenditure can be reduced.
