Bremen, April 16, 2013 - MeVis Medical Solutions AG [ISIN: DE000A0LBFE4], a
leading provider of medical imaging software, plans to further optimize its
Group structure.
For this purpose it is intended to merge MeVis BreastCare Solutions
Verwaltungs-GmbH into MeVis Medical Solutions AG. As a result of this
merger, the business including all assets and liabilities of MeVis Breast
Care Solutions GmbH & Co. KG, which is focused on its industrial customer
Hologic, will accrue to MeVis Medical Solutions AG. MeVis Breast Care
Solutions GmbH & Co. KG and MeVis Breast Care Solutions Verwaltungs-GmbH,
both wholly-owned subsidiaries of MeVis Medical Solutions AG, will cease to
exist upon the effectiveness of the measure.
For implementation, the Executive Board and Supervisory Board have decided
today to ask the shareholders of MeVis Medical Solutions AG for approval of
the merger agreement between MeVis Medical Solutions AG, as the acquiring
company, and MeVis Breast Care Solutions Verwaltungs-GmbH, as the
transferring company, at the Annual General Meeting on June 20, 2013.
