The issuer is solely responsible for the content of this announcement. ——————————————————————————– Implementation of the MLP staff participation program MLP major shareholders take an unusual step Heidelberg, 13 March 2002 – MLP AG will take the next step towards restructuring its share capital. The MLP principal shareholders Manfred Lautenschläger and Dr. Bernhard Termühlen have issued an offer to the minority shareholders of the group subsidiary MLP Lebensversicherung AG whereby they can convert their shares into MLP AG stock. The conversion ratio for the offer is 1.5785 MLP shares for each MLP Lebensversicherungs share. It corresponds exactly to the ratio in the valuation report upon which the resolution passed at the extraordinary general meeting in November 2000 was based. The minority shareholders at MLP Lebensversicherung AG, the offer is made to, are MLP Group employees, who have taken part in a share ownership program between 1996 and the year 2001. They hold some 18 percent in MLP Lebensversicherung AG. This would correspond to a maximum volume of 4.2 million shares of the listed MLP Holding AG. The MLP AG shares for the conversion originates from the personal assets belonging to Manfred Lautenschläger, Chairman of the MLP AG supervisory board, and Dr. Bernhard Termühlen, Chairman and CEO at MLP AG. These shares can be traded freely on the stock exchange. Jointly the two major shareholders currently hold some 32.5 percent of the MLP AG shares. The offer starts on 14 March 2002 and remains valid until 28 March 2002, 12 am CET. The Dresdner Bank will be handling the conversion.
