The issuer is solely responsible for the content of this announcement. ——————————————————————————– Ad hoc announcement as defined under section 15 of the German WpHG law MLP AG capital increase registered The executive board at MLP AG passed the resolution on April 8th 2002 with approval granted on the same day by the company’s supervisory board, to increase the company’s equity capital from EUR 79,200,00.00 by EUR 29,440,686.00 to EUR 108,640,686.00 in exchange for non-cash contributions in performance of the authorisation passed by the AGM on November 17th 2000 (cf. Ad hoc announcement, April 9th 2002). The non-cash contribution comprises shares in the operating subsidiaries MLP Lebensversicherung (life insurance) AG, MLP Versicherung (general insurance) AG, MLP Vermögensverwaltung (wealth management) AG and MLP Login GmbH. The capital increase execution was recorded in the trade register in Heidelberg, Germany, on May 31st 2002. Consequently the company’s equity capital has increased from EUR 79,200,000.00 to EUR 108,640,686.00. Pursuant to the capital increase the company MLP AG, now owns 100% of the shares in the subsidiaries MLP Versicherung AG, MLP Vermögensverwaltung AG and MLP Login GmbH as well as approximately 99.83% of the shares in the subsidiary MLP Lebensversicherung AG. By listing in the trade register MLP AG marks the completion of the new capital structure which was voted for at the AGM on November 17th 2000.
