I &#8213; IDENTIFICATION</font></b></p>

<p style="font-family:Times New Roman;font-size:10.0pt;margin:0pt 0pt 12.0pt;"><b><u><font size="2" face="Times New Roman" style="font-size:10.0pt;font-weight:bold;">Section
1</font></u>.&nbsp;&nbsp; <u>NAME</u>.</b>&nbsp;&nbsp; The name of the Company is
Deere &amp; Company (hereinafter referred to as the &#147;Company&#148;).</p>

<p style="font-family:Times New Roman;font-size:10.0pt;margin:0pt 0pt 12.0pt;"><b><u><font size="2" face="Times New Roman" style="font-size:10.0pt;font-weight:bold;">Section
2</font></u>.&nbsp;&nbsp; <u>OFFICES</u>.</b>&nbsp;&nbsp; The principal office of
the Company in Delaware shall be in the City of Wilmington, County of New
Castle, State of Delaware. The Company may maintain, change or discontinue its
other offices, including its principal business office in the County of Rock Island,
State of Illinois, and may have such other offices both within and outside of
the State of Delaware as its business may require.</p>

<p style="font-family:Times New Roman;font-size:10.0pt;margin:0pt 0pt 12.0pt;"><b><u><font size="2" face="Times New Roman" style="font-size:10.0pt;font-weight:bold;">Section
3</font></u>.&nbsp;&nbsp; <u>SEAL</u>.&nbsp;&nbsp; </b>The seal of the Company shall
be circular in form and mounted upon a metal die, suitable for impressing the
same upon paper. About the upper periphery of the seal shall appear the words &#147;Deere
&amp; Company&#148; and about the lower periphery thereof the word &#147;Delaware&#148;. In
the center of the seal shall appear a representation of a leaping deer.</p>

<p style="font-family:Times New Roman;font-size:10.0pt;margin:0pt 0pt 12.0pt;"><b><u><font size="2" face="Times New Roman" style="font-size:10.0pt;font-weight:bold;">Section
4</font></u>.&nbsp;&nbsp; <u>FISCAL YEAR</u>.&nbsp;&nbsp; </b>The fiscal year of the
Company shall begin on the first day of November in each calendar year and end
on the last day of October in the following calendar year.</p>

<p align="center" style="margin:0pt 0pt 12.0pt;text-align:center;"><b><font size="2" face="Times New Roman" style="font-size:10.0pt;font-weight:bold;">ARTICLE
II &#8213; THE STOCKHOLDERS</font></b></p>

<p style="font-family:Times New Roman;font-size:10.0pt;margin:0pt 0pt 12.0pt;"><b><u><font size="2" face="Times New Roman" style="font-size:10.0pt;font-weight:bold;">Section
1</font></u>.&nbsp;&nbsp; <u>PLACE OF MEETINGS</u>.&nbsp;&nbsp; </b>Annual meetings
of the stockholders for the election of directors shall be held at the
principal business office of the Company in Rock Island County, State of
Illinois. Meetings of the stockholders for any other purpose may be held at
such place within the State of Delaware or the State of Illinois as may be
specified by the Chairman or the Board of Directors.</p>

<p style="font-family:Times New Roman;font-size:10.0pt;margin:0pt 0pt 12.0pt;"><b><u><font size="2" face="Times New Roman" style="font-size:10.0pt;font-weight:bold;">Section 2.&nbsp;&nbsp; ANNUAL MEETING</font></u></b><b>.</b>&nbsp;&nbsp; The annual meeting of the
stockholders, at which they shall elect directors by ballot and may transact
such other business as may properly be brought before the meeting in accordance
with Section 3 of Article II of these bylaws, shall be held at ten o&#146;clock in
the morning, local time, on the last Wednesday in February of each year or on
such business day and at such time and at such place as may be designated by
the Board of Directors. If the date designated for the annual meeting is a
legal holiday then the annual meeting shall be held on the first following day
that is not a legal holiday.</p>

<p style="margin:0pt 0pt 12.0pt;"><b><u><font size="2" face="Times New Roman" style="font-size:10.0pt;font-weight:bold;">Section
3.&nbsp;&nbsp; NOMINATION OF DIRECTORS AND OTHER BUSINESS.</font></u></b></p>

Company entitled to vote for the election of directors at the meeting who
complies with the notice procedures set forth in this Section 3. Such
nomination, other than those made by or at the direction of the Board or by
persons authorized by the Board, shall be made pursuant to timely notice in
writing to the Secretary of the Company. Such stockholder&#146;s notice to the
Secretary of a proposed nomination shall set forth, as to each person whom the
stockholder proposes to nominate for election or re-election as a director, (i)
the name, age, business address and residence address of the person, (ii) the
principal occupation or employment of the person, (iii) the class and number of
shares of capital stock of the Company which are beneficially owned by the
person, and (iv) any other information relating to the person that is required
to be disclosed in solicitations for proxies for election of directors pursuant
to Regulation 14A under the Securities Exchange Act of 1934, as now or
hereafter amended; such notice shall further set forth, as to the stockholder
giving the notice, (i) the name and record address of such stockholder and (ii)
the class and number of shares of the Company which are beneficially owned by
such stockholder. The Company may require any proposed nominee to furnish such
other information as may reasonably be required by the Company to determine the
eligibility of such proposed nominee to serve as director. No person shall be
eligible for election as a director of the Company unless nominated in
accordance with the procedures set forth herein and unless qualified under the
other provisions of these bylaws. If the Chairman of the meeting determines
that a nomination was not made in accordance with the foregoing procedure, he

addition to any other applicable requirements, for business to be properly

stockholder proposes to bring before the meeting (i) a brief description of the
business desired to be brought before the meeting and the reasons for

in these bylaws to the contrary, no business shall be conducted at any meeting

in this Section 3 shall be deemed to preclude discussion by any stockholder of
any business properly brought before the meeting. If the Chairman of the
meeting determines that such business was not properly brought before the
meeting in accordance with the foregoing procedure, he shall so declare to the
meeting, any such business not properly brought before the meeting shall not be
transacted.</p>

of the stockholders may be called by the Chairman or the Board of Directors.
The business transacted at any special meeting of the stockholders shall be
limited to the purposes stated in the notice for the meeting.</p>

<p style="font-family:Times New Roman;font-size:10.0pt;margin:0pt 0pt 12.0pt;"><b><u><font size="2" face="Times New Roman" style="font-size:10.0pt;font-weight:bold;">Section
5</font></u>.&nbsp;&nbsp; <u>NOTICE OF MEETINGS</u>.&nbsp;&nbsp; </b>Written notice
of each meeting of stockholders, stating the place, day and hour of the meeting
and, in case of a special meeting, the purpose or purposes for which the
meeting is called, shall be delivered not less than ten nor more than sixty
days before the date of the meeting, either personally or by mail, by or at the
direction of the Chairman or the Secretary to each stockholder of record
entitled to vote at such meeting. If mailed, such notice shall be deemed to be
delivered when deposited in the United States mail addressed to the stockholder
at his address as it appears on the stock transfer books of the Company, with
postage thereon prepaid.</p>

<p style="font-family:Times New Roman;font-size:10.0pt;margin:0pt 0pt 12.0pt;"><b><u><font size="2" face="Times New Roman" style="font-size:10.0pt;font-weight:bold;">Section
6</font></u>.&nbsp;&nbsp; <u>FIXING OF RECORD DATES</u>.&nbsp;&nbsp; </b>In order
that the Company may determine the stockholders entitled to notice of or to
vote at any meeting of stockholders or any adjournment thereof, or entitled to
receive payment of any dividend or other distribution or allotment of any
rights, or entitled to exercise any rights in respect of any change, conversion
or exchange of stock or for the purpose of any other lawful action, the Board
of Directors may fix, in advance, a record date, which shall not be more than
sixty nor less than ten days before the date of such meeting, nor more than
sixty days prior to any other action. A determination of stockholders of record
entitled to notice of or to vote at a meeting of stockholders shall apply to
any adjournment of the meeting; provided, however, that the Board of Directors
may fix a new record date for the adjourned meeting.</p>

vote at such meeting, arranged in alphabetical order, showing the address of
and the number of shares registered in the name of each stockholder. Such list
shall be open to the examination of any stockholder for any purpose germane to
the meeting, during ordinary business hours, for a period of at least ten days
prior to the meeting, either at a place within the city where the meeting is to
be held, which place shall be specified in the notice of meeting, or, if not so
specified, at the place where the meeting is to be held, and the list shall be
produced and kept at the time and place of the meeting during the whole time
thereof, and subject to the inspection of any stockholder who may be present.</p>

terms provides that it shall not be amended, altered or repealed by the
Executive Committee. Nor, unless specifically authorized by the Board of
Directors, shall the Executive Committee have the authority of the Board of
Directors in reference to incurring indebtedness for a term of longer than one
year except that this limitation shall not apply to indebtedness of up to five
years which (i) do not involve registration with the Securities &amp; Exchange
Commission and (ii) do not result in a total of indebtedness of $50,000,000 for
a term longer than one year to any one lender, nor shall this limitation apply

adopt such regulations concerning the authority and duties of the transfer
agent and registrar, the transfer and registration of certificates of stock and
the substitution or replacement of lost, stolen, destroyed or mutilated

employee of the Company or of any of its subsidiaries, including any officer or
employee who is a director of the Company or of any of its subsidiaries,
whenever, in the judgment of the Board of Directors, such loan, guaranty or
assistance may reasonably be expected to benefit the Company. The loan,
guaranty or other assistance may be with or without interest and may be
unsecured or secured in such manner as the Board of Directors shall approve
including, without limitation, a pledge of shares of stock of the Company.</p>

such power of amendment as is vested by law in the shareholders, the Board of
Directors is authorized to alter, amend or repeal the bylaws at any meeting of
the Board of Directors by the affirmative vote of a majority of the number of
directors then in office.</p>
