Participants were eligible to participate in the Program if they met all of the following requirements&#58; they were age 59 or older on June 1, 2020&#59; they had been actively employed by the Company for at least 90 days as of June 1, 2020&#59; they participated in the MCC or PIA under the Plan or another eligible Medtronic retirement plan&#59; they were not entitled to severance benefits (whether voluntary or involuntary) under any Medtronic severance plan&#59; and they were not a Senior Vice President (SVP) or above. For those participants who elected the MCC or PIA account benefit, the Program allowed for participants to receive an additional contribution to their MCC or PIA in an amount equal to 25 percent of eligible compensation paid from May 1, 2019 through April 30, 2020 to their MCC or PIA. The participant contribution rate will increase annually at a rate of 1% until the participant reaches a maximum contribution rate of 10%, subject to statutory limits. Employees who do not wish to participate in the 401(k) Component of the Plan have the option to opt out within the 60 days prior to automatic enrollment. If an event of default occurs and is not cured, the non-defaulting party may terminate the contract. The following may cause the Plan to be in default&#58; a breach of material obligation under the contract&#59; a material misrepresentation&#59; or a material amendment to the Plan agreement. The issuer may be in default if it breaches a material obligation under the investment contract&#59; makes a material misrepresentation&#59; is acquired or reorganized and the successor issuer does not satisfy the investment or credit guidelines applicable to issuers. If, in the event of default of an issuer, the Plan was unable to obtain a replacement investment contract, withdrawing plans may experience losses if the value of the Plan&#8217;s assets no longer covered by the contract are below contract value. The Plan may seek to add additional issuers over time to diversify the Plan&#8217;s exposure to such risk, but there is no assurance the Plan may be able to do so. The combination of the default of an issuer and an inability to obtain a replacement agreement could render the Plan unable to achieve its objective of maintaining a stable contract value.</font></div><div style="margin-bottom:8pt;margin-top:8pt;text-align:justify"><font style="color:#000000;font-family:'Times New Roman',sans-serif;font-size:10pt;font-weight:400;line-height:120%">Contract termination occurs whenever the contract value or market value of the covered investments reaches zero or upon certain events of default. Related Party Transactions and Party-In-Interest Transactions</font></div><div style="margin-bottom:8pt;margin-top:8pt;text-align:justify"><font style="color:#000000;font-family:'Times New Roman',sans-serif;font-size:10pt;font-weight:400;line-height:120%">The Plan&#8217;s investments consist of the Plan's interest in the Master Trust, which includes shares of registered investment companies, collective trusts, the Medtronic GIC, and Medtronic plc common stock. All investment transactions were managed by the Trustee and the Recordkeeper during the year ended April 30, 2021. These transactions are allowed by the Plan and the IRC and qualify as party-in-interest transactions, which are exempt from the prohibited transactions rules. In addition, as previously noted, the Master Trust invests in the ordinary shares of Medtronic plc. The Plan's investment in ordinary shares of Medtronic plc at April 30, 2021 and 2020 was $934,168, and $784,908, respectively.</font></div><div style="margin-bottom:8pt;margin-top:8pt;text-align:justify"><font style="color:#000000;font-family:'Times New Roman',sans-serif;font-size:10pt;font-weight:400;line-height:120%">At April 30, 2021 and 2020, the Plan had notes receivable from participants of $84,027 and $88,339, respectively. These transactions qualify as party-in-interest transactions, which are exempt from prohibited transaction rules. </font></div><div id="i1b2e9061f4694265ab1010ef35fd26a1_40"></div><div style="margin-bottom:8pt;margin-top:8pt"><font style="color:#000000;font-family:'Times New Roman',sans-serif;font-size:10pt;font-weight:700;line-height:120%">6. Tax Status</font></div><div style="margin-bottom:8pt;margin-top:8pt;text-align:justify"><font style="color:#000000;font-family:'Times New Roman',sans-serif;font-size:10pt;font-weight:400;line-height:120%">The Plan received a favorable determination letter, effective October 22, 2014, from the Internal Revenue Service (IRS). The IRS has determined that the Plan and the related trust are designed in accordance with the applicable sections of the IRC and are, therefore, exempt from income taxes. Although the Plan document that the IRS reviewed in issuing its most recent determination letter has since been amended and restated, the Plan Administrator believes that the Plan is currently designed and being operated in compliance with the applicable requirements of the IRC. Therefore, no provision for income taxes has been included in the Plan&#8217;s financial statements.</font></div><div style="margin-bottom:8pt;margin-top:8pt;text-align:justify"><font style="color:#000000;font-family:'Times New Roman',sans-serif;font-size:10pt;font-weight:400;line-height:120%">U.S. GAAP requires Plan management to evaluate tax positions taken by the Plan and recognize a tax liability (or asset) if the Plan has taken an uncertain position that more likely than not would not be sustained upon examination by the IRS. The Plan has not recognized any interest or penalties related to uncertain tax positions.
